2. Services Overview

3. Setup Fees and Project Commencement

All setup fees must be paid in full before work begins. Setup fees are non-refundable once work has commenced.

4. Website Development Services

Ownership

Ownership of final deliverables transfers upon full payment, excluding proprietary frameworks, templates, and licensed third-party tools.

Limitations

We are not responsible for third-party updates, plugin conflicts, platform changes, or security breaches after delivery unless under an active maintenance agreement.

5. Website Maintenance Services

Maintenance may include plugin updates and routine checks. Maintenance does not guarantee protection from cyberattacks, malware, or zero-day vulnerabilities. Backups remain the client’s responsibility unless expressly included.

6. CRM Platform – MYB Gear Up 365

License Grant

Access is provided as a limited, non-exclusive, non-transferable license. Seats are limited (currently 19). Access may not be shared or resold.

Billing

Subscriptions may auto-renew unless canceled prior to renewal. Some features may incur additional third-party charges.

7. AI and Automation Tools

We may use AI tools for drafting, automation, and workflow creation. AI assists but does not replace human review. We do not guarantee exclusive originality. Clients must review and approve all deliverables before use.

Description of SMS Use Cases

9. Marketing Compliance

Clients using email or SMS features agree to comply with CAN-SPAM, TCPA, GDPR, and all applicable laws. Clients are solely responsible for obtaining proper consent.

10. Hosting and GoDaddy Reseller Services

Hosting and domain services are provided via GoDaddy and governed by GoDaddy’s terms. We are not liable for hosting outages, infrastructure failures, or domain expiration.

11. Data Processing and Roles

For CRM services, the client acts as the Data Controller and we act as the Data Processor. We process data solely to provide services.

12. Data Security

We implement commercially reasonable safeguards. No system is 100% secure. We are not liable for breaches caused by third-party infrastructure or client misconfiguration.

13. Data Retention

CRM data may be deleted 30 days after termination. Clients must export data before cancellation.

14. Accessibility Disclaimer

We do not guarantee ADA or WCAG compliance unless expressly agreed in writing.

15. Independent Contractor

We operate as an independent contractor. Nothing creates a partnership, agency, or fiduciary relationship.

16. Indemnification

You agree to indemnify and hold us harmless from claims arising from misuse of services, marketing law violations, or regulatory fines.

17. Disclaimer of Warranties

Services are provided “AS IS” and “AS AVAILABLE.” We do not guarantee uninterrupted service or business results.

18. Limitation of Liability

Our total liability shall not exceed fees paid in the 12 months preceding the claim. We are not liable for lost profits, lost data, or consequential damages.

19. Arbitration and Class Action Waiver

Disputes shall be resolved through binding arbitration in Louisiana. You waive the right to jury trial and class actions.

20. Governing Law

These Terms are governed by Louisiana law.
